Please read the Terms and Conditions below and fill out the Fundraising Partnership Request Form at the end. You must accept the terms and conditions by checking the box before submitting the request form. If you do not agree with the Terms and Conditions, you should not submit the form.
Terms and Conditions for Fundraising Partnership with Redwood Mountain Publishing
These Terms and Conditions govern the partnership between Redwood Mountain Publishing ("Publisher") and the nonprofit organization ("Organization") regarding the fundraising campaign through the sale of Hanna Storm: Intergalactic ("Book"). By completing the online application and participating in the fundraising campaign, the Organization agrees to comply with the following Terms and Conditions.
1. Acceptance of Terms
By clicking "Accept" or submitting the online application, the Organization acknowledges that it has read, understood, and agrees to abide by these Terms and Conditions. If the Organization does not agree with these terms, it should not proceed with the application or fundraising campaign.
2. Purpose
The Publisher and the Organization agree to collaborate in a fundraising initiative wherein the Publisher will provide a variety of sales options to help the Organization raise funds through the sale of Hanna Storm: Intergalactic. These options include online sales, discounted purchases of hard copies for resale, or a hybrid of both. A portion of sales from a dedicated online page will be donated to the Organization, while the Organization retains all revenues from hard-copy sales made independently.
3. Sales Options
The Organization may choose one of the following three fundraising options, or a combination (hybrid approach):

Option 1: Online Sales with No Upfront Costs
The Publisher will provide the Organization with a unique, dedicated online sales page ("Sales Page") for Hanna Storm: Intergalactic. There will be no upfront costs, and all sales made through the dedicated Sales Page, which is hosted by IngramSpark, will be tracked. The Publisher will donate a percentage of the revenue from these sales directly to the Organization, based on the following performance structure:-
20% for sales up to $2,500.

25% for sales between $2,501 and $10,000.

30% for sales greater than $10,000.

Option 2: Purchase of Hard Copies at a Discounted Price
The Publisher will offer hard copies of Hanna Storm: Intergalactic to the Organization at a discounted price of $7.99 per book, plus shipping, for physical copies that will be sent directly to the Organization. The Organization will keep 100% of the revenue from any hard copies sold. The Organization is responsible for handling the distribution, pricing, and shipping of these hard copies. The retail price of Hanna Storm: Intergalactic is $14.99. The Organization may sell the physical copies for any price they choose, whether higher or lower than the retail price. -
Option 3: Hybrid Approach
The Organization may opt for a hybrid approach, using both the online sales page and the discounted purchase of hard copies for resale. In this case, the Organization will receive:-
20% of revenue from online sales up to $2,500.

25% of revenue from online sales between $2,501 and $10,000.

30% of revenue from online sales greater than $10,000.

100% of revenue from the sale of physical copies purchased from the Publisher at the discounted rate of $7.99 per book, plus shipping.

4. Promotional Materials
To support the fundraising effort, the Publisher will provide the following materials to the Organization:

QR Code and Weblinks: The Publisher will provide a custom QR code and web links for the Organization to promote the Sales Page.

Bookmarks: The Publisher will provide 1,000 Hanna Storm: Intergalactic bookmarks, each featuring the QR code linked to the dedicated Sales Page.

Sample Fundraising Email: A template email that the Organization can use to encourage supporters to purchase the Book.

Draft Social Media Posts: Sample posts designed to help the Organization promote the fundraiser via social media platforms.
These materials are provided solely for the purpose of promoting this fundraising campaign and cannot be used for any other commercial purpose without prior written consent from the Publisher.
5. Responsibilities of the Organization
The Organization agrees to:

Promote the fundraiser actively, including distribution of bookmarks, sharing QR codes, and using the provided email and social media templates.

Ensure that all marketing materials are used in accordance with the Publisher’s guidelines and are not misleading or defamatory.

Refrain from using the Publisher's trademarks or branding for any purpose other than the promotion of the fundraising campaign, unless explicitly authorized.

If using Option 2 or 3 (discounted hard copy sales), manage the pricing, distribution and logistics for the physical books
6. Compliance with Laws
The Organization acknowledges that it is responsible for ensuring that its fundraising efforts comply with all applicable laws and regulations, including but not limited to the Charitable Solicitations Act, Utah Code Ann. §§ 13-22-1 to 22-23. The Publisher shall not be responsible for any legal violations committed by the Organization during the course of the fundraising campaign.
7. No Refunds
All sales made through the dedicated Sales Page are final. The Publisher will not provide refunds for any purchases made during the campaign.
8. Payment Processing and Reporting
Sales made through the dedicated Sales Page will be tracked via IngramSpark, which is the Publisher’s distributor. IngramSpark pays the Publisher 90 days after the end of the month in which the sale is recorded. Therefore, the Publisher will make payments to the Organization within 120 days after the end of the month in which the sale was recorded.
The Publisher will provide the Organization with a quarterly report detailing the sales generated through the Sales Page, including the total sales, amount donated, and the Organization’s share of the revenue. Payments will be processed within 120 days of the sale month.
9. Term and Termination
This Agreement will remain in effect for the duration of the fundraising campaign, unless terminated earlier by either party with written notice. Upon cancellation by either party, Redwood Mountain Publishing reserves the right to continue or discontinue the dedicated online sales page at their discretion, but will not owe the Organization any share of sales after the date of notification of cancellation by either party.
10. Liability and Indemnification
The Publisher will not be liable for any damages arising from the use of promotional materials, the Sales Page, or the Book itself, including any indirect, special, or consequential damages. The Organization agrees to indemnify and hold harmless the Publisher from any claims, losses, or liabilities arising from the Organization’s activities under this Agreement, including any violation of applicable laws or misuse of the promotional materials.
11. Confidentiality
Both parties agree to keep confidential any proprietary information, sales data, and other sensitive details related to the fundraising campaign. This obligation of confidentiality will survive the termination of this Agreement.
12. Publicity
The Publisher may use the Organization’s name and logo in its marketing and promotional materials related to the fundraising campaign. The Organization may also acknowledge the Publisher’s support in its own promotional materials, provided that such acknowledgment is accurate and consistent with the purpose of the campaign.
13. Dispute Resolution
In the event of any dispute arising out of or relating to this Agreement, the parties agree to first attempt to resolve the dispute through informal negotiations. If the dispute cannot be resolved through informal negotiations within thirty (30) days, the parties agree to submit the dispute to mediation in the State of Utah, before a mediator mutually agreed upon by the parties. If mediation fails to resolve the dispute, the parties may pursue legal remedies in the appropriate courts located within Utah.
14. Governing Law
This Agreement shall be governed by the laws of the State of Utah, and any disputes arising out of or related to this Agreement shall be resolved in the appropriate courts located within Utah.
15. Miscellaneous

Entire Terms and Conditions: These Terms and Conditions constitute the entire understanding between the Publisher and the Organization and supersedes any prior agreements or communications.

Amendments: Any amendments to these Terms and Conditions must be made in writing and signed by both parties.

Severability: If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Clear Marketing Guidelines: The Organization agrees to use the promotional materials solely for the purpose of this fundraising campaign and in a manner that upholds the Publisher’s brand image and reputation. The Organization agrees to seek the Publisher’s prior approval for any promotional material that deviates from the provided samples.

Payment Transparency: The Publisher will provide quarterly reporting on sales and donation amounts. The Organization will have access to sales data relevant to their fundraising efforts and will be notified promptly of any discrepancies.

Discounted Book Resale Pricing: For physical copies purchased at a discounted rate, the Organization agrees to pay $7.99 per book, plus shipping, for the books that will be sent directly to them. The retail price of Hanna Storm: Intergalactic is $14.99, and the Organization may sell the books for any price they choose, whether higher or lower than the retail price.

Audit Rights: The Organization may, upon reasonable notice and at its own cost, audit the Publisher’s records related to the sales and donations of the campaign, provided that such audits do not disrupt the Publisher’s business operations. Any discrepancies discovered during an audit will be addressed promptly by both parties.

Non-Exclusivity: Nothing in this Agreement shall prevent the Organization from engaging in other fundraising activities or partnerships with other publishers or sellers, provided that such activities do not conflict with the terms and purpose of this Agreement. Likewise, the Publisher may engage with other nonprofit organizations in fundraising activities.

Performance Metrics and Adjustments: Both parties agree to review the campaign’s performance after an initial period of 90 days. If sales through the dedicated Sales Page are not meeting expectations, both parties may discuss and implement adjustments to improve the campaign’s effectiveness, including but not limited to changes in promotional efforts, pricing strategies, or additional incentives.

Social Responsibility: Both the Publisher and the Organization share a commitment to fostering positive social impact through this campaign. The Publisher agrees to provide resources and promotional support to maximize the success of the campaign, while the Organization will ensure that all donations are used in a manner that aligns with its mission and goals.
